These Terms of Service ("Terms") govern your use of the Modelize application and related services ("Service") provided by Modelize ("we," "us," or "our"). By installing or using the Service, you agree to these Terms.

1. Service Description

Modelize is a Shopify application that uses artificial intelligence to generate professional product photography. The Service allows you to create AI-generated product images, including lifestyle shots and virtual model photography, based on your existing product images and selected styles.

2. Account Requirements

To use Modelize, you must:

  • Have an active Shopify store
  • Install the Modelize app through the Shopify App Store
  • Grant the necessary permissions for the app to access your store data and product information
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Provide accurate and complete information when requested

3. Acceptable Use

You agree not to use the Service to:

  • Generate illegal, harmful, or offensive content
  • Infringe on the intellectual property rights of others
  • Misrepresent AI-generated images as traditional photographs in contexts where such disclosure is legally required
  • Attempt to reverse-engineer, decompile, or extract our AI models or proprietary technology
  • Exceed your plan's usage limits through automated or abusive means
  • Use the Service in any way that disrupts or impairs its operation

4. Intellectual Property

4.1 Your Content

You retain all rights to the product images you upload to the Service. You grant us a limited, non-exclusive license to process your images solely for the purpose of providing the Service.

4.2 Generated Images

You own the AI-generated images created through the Service. You are free to use, modify, distribute, and commercially exploit these images without restriction, subject to applicable laws.

4.3 Our Intellectual Property

The Service, including its AI models, algorithms, software, design, and documentation, is and remains our intellectual property. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described herein.

5. Payment and Billing

All payments for the Service are processed through Shopify's built-in billing system. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account.

  • Plans are billed on a monthly basis
  • You may upgrade, downgrade, or cancel your plan at any time
  • Downgrades and cancellations take effect at the end of the current billing period
  • Upgrades take effect immediately with prorated billing
  • No refunds are provided for partial months of service

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or to address technical issues. We will make reasonable efforts to notify you of planned downtime in advance.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Modelize, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. Termination

Either party may terminate this agreement at any time. You may terminate by uninstalling the Modelize app from your Shopify store. We may terminate or suspend your access to the Service if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will continue to apply, including intellectual property rights, limitation of liability, and indemnification.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.

11. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
